SHANEEL MODERN SLAVERY AND HUMAN TRAFFICKING STATEMENT FOR FINANCIAL YEAR 2023/2024

INTRODUCTION

Shaneel Enterprises Limited and its group companies (together the “Shaneel Group”) have a zero-tolerance approach to modern slavery and human trafficking. We are committed to acting ethically and with integrity at all times. We have evaluated our business dealings and relationships and assessed the level of visibility that we have in relation to operations throughout our supply chain.

This is our Modern Slavery Statement. It has been prepared by the Shaneel Legal Department in accordance with section 54(1) of the Modern Slavery Act 2015 (the “Act”) in respect of our financial year from 1 April 2023 to 31 March 2024 (“FY23/24”). This statement, as well as Shaneel Group’s Anti-Slavery and Human Trafficking Policy (the “Modern Slavery Policy”), cover all of our group companies (including HOUSE OF WORTH LIMITED) and set out the steps we take to prevent modern slavery from occurring within our business or our supply chains. Our purpose is to build a better working world, and this includes a commitment to conduct our business ethically and to deliver responsible growth that is inclusive for all.

ABOUT US

Shaneel Enterprises is incorporated in England and Wales and based in Watford, Hertfordshire, United Kingdom. Companies within the Shaneel Group manufacture, distribute, and promote branded fragrances and cosmetic products. Our portfolio of brands includes names such as Jennifer Lopez, Playboy, Cerruti, Ghost, Ariana Grande, and Hawaiian Tropic.

As of the financial year ending 31 March 2024, the Shaneel Group had less than 250 employees in the UK and worked with third parties both within and outside the UK in relation to the manufacturing and distribution of our products.

KEY TEAMS

We undertake a variety of different initiatives within our own business and supply chains, making sure that we are working together with our staff and suppliers to eliminate modern slavery and human trafficking. Some of our key teams involved in ensuring compliance include:

  • HR – Ensures compliance with laws and regulations (including the Act) during recruitment and employment, and works with external recruitment services to carry out pre-employment checks.
  • NPD & Operations – Sources suppliers and ensures due diligence checks are carried out on new and existing suppliers.
  • Legal – Advises on procurement, ensures robust terms with suppliers, and reviews modern slavery policies and procedures.

MANAGING RISKS WITHIN OUR BUSINESS

We operate mainly in the fragrance wholesale and distribution sector, which is not deemed to be high-risk for modern slavery. However, as we engage suppliers worldwide, we remain vigilant in addressing risks related to modern slavery, particularly in areas deemed higher risk. Key steps include:

  • Recruitment – Pre-screening of employees includes identity, reference, right to work, and professional qualification checks.
  • Fair Pay – Ensuring employees and consultants are paid at least the UK national Minimum Wage.
  • Due Diligence – Performing enhanced due diligence checks on target entities before acquisition, assessing modern slavery risks in suppliers and business relationships.

MANAGING RISKS WITHIN OUR SUPPLY CHAINS

Our supply chains include suppliers of fragrances, oils, componentry, finished goods, and packing operations. We are committed to working with partners who share our values of ethical and sustainable business practices. Steps we take to ensure this include:

  • Due diligence enquiries, supplier audits, and adherence to accreditations like SEDEX.
  • Evaluating potential risks related to modern slavery within our supply chains and taking prompt action if necessary.

OUR POLICIES ON SLAVERY AND HUMAN TRAFFICKING

Shaneel Group has an Anti-Slavery and Human Trafficking Policy in place, which reflects our commitment to acting ethically in our business relationships. It outlines procedures for reporting suspicions of modern slavery and steps to mitigate such risks.

OUR SUPPLIER CODE OF CONDUCT

Our Supplier Code of Conduct sets clear standards regarding business ethics and human rights, including no use of forced or child labor, fair compensation, and ensuring workers' freedom. We require all suppliers to abide by this Code.

SUPPLIER ADHERENCE TO OUR VALUES

The obligations set in our Supplier Code of Conduct are reinforced by our agreements, allowing for termination in case of any breach of laws, including the Modern Slavery Act.

OUR PROGRESS IN FY23/24

During FY23/24, we inserted new contractual obligations in our supply agreements to ensure compliance with the Modern Slavery Act 2015. We continued to identify and mitigate risks of slavery in our supply chains, ensuring the protection of whistleblowers and monitoring our suppliers.

OUR KEY AIMS FOR FY24/25

  • Carry out staff and management training on the risks of modern slavery.
  • Conduct a business review of suppliers to ensure ongoing risk assessments and compliance.
  • Review and update our Modern Slavery policy and internal hiring practices to ensure compliance with the Act.
